End User License Agreement

This End User License Agreement ("Agreement") is between you and Jeff Davis d/b/a Fangtooth Instruments ("Fangtooth Instruments," "we," "us") and governs your use of our software instruments, plugins, sample content, presets, and documentation (collectively, the "Product").

By installing, activating, or using the Product, you accept this Agreement. If you do not accept it, do not install the Product, and contact us for a refund in accordance with our Refund Policy.

1. What you are buying

You are purchasing a license to use the Product. You are not purchasing the Product itself. Fangtooth Instruments and its licensors retain all ownership of the Product, including the software code, the recorded audio samples, the presets, the interface graphics, and the documentation.

2. License grant

Subject to this Agreement, we grant you a non-exclusive, non-transferable, worldwide license to install and use the Product for your own personal and commercial music, audio, and media production work.

You may install the Product on computers you own or control, and activate it on up to 10 machines simultaneously. Additional activations can be requested by contacting support. If you are the only user, you may install on both a studio machine and a laptop.

If the Product is licensed to an organization, the license covers one named individual user; additional users require additional licenses.

3. What you can do with the sound

Audio you create using the Product is yours. You may use recordings, renders, stems, and performances made with the Product in your own commercial and non-commercial work — records, film, television, games, advertising, trailers, podcasts, live performance, installations, and client work — with no additional fee, royalty, or credit required.

You do not need to license the output separately. You do not need to notify us. We would love to hear it, but you are not obliged to tell us.

4. What you cannot do

You may not:

  • Copy, distribute, share, lend, rent, lease, sell, sublicense, upload, or otherwise make the Product or your license credentials available to anyone else
  • Distribute the raw or substantially unaltered sample content, presets, or samplemaps in any form, including as part of another sample library, preset pack, sound pack, expansion, plugin, app, or sound effects collection
  • Use the sample content as source material to create a competing sample-based instrument, sample library, or sound library
  • Make the Product's audio content available in a form intended for others to use as raw source material, including one-shot or loop packs derived from our samples
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or sample data of the Product, except to the extent that applicable law expressly permits it despite this limitation
  • Circumvent, remove, disable, or interfere with the Product's copy protection, licensing, or activation systems
  • Remove or alter any copyright, trademark, or proprietary notice

The intent of this section is straightforward: make whatever music you want with these sounds, but don't turn our sample content back into a product that competes with ours.

5. Derivative and processed audio

Audio you create with the Product may be processed, layered, resampled, and edited freely as part of your own work. However, heavy processing does not create a right to redistribute the underlying sample content as source material. A track, cue, or sound design element that uses our sounds within a finished piece is permitted. A pack of processed one-shots derived from our library is not.

6. Activation and license validation

The Product uses an online activation and licensing system operated by Moonbase. Activation requires an internet connection and transmits your license credentials and a machine identifier. Offline activation is available on request through support.

We may update the licensing system over time. We will not use it to collect your audio, your projects, or the contents of your computer.

7. Third-party sound sources

Sample content in our Products is recorded and produced by Fangtooth Instruments. Where a Product is derived from recordings of hardware instruments, we hold the necessary rights to distribute those recordings as sample content. Hardware manufacturer names appearing in our materials are used descriptively to identify the source of recordings and do not imply endorsement, sponsorship, or affiliation.

8. Updates and support

We may release updates, bug fixes, and new versions of the Product. Free updates within a major version are provided at our discretion; paid upgrades may be offered for major new versions. Nothing in this Agreement obligates us to provide updates, continued compatibility with future operating systems or DAWs, or support for any specific period.

Support is provided by email at support@fangtoothinstruments.com for current versions on supported systems.

9. Transfer of license

Licenses are non-transferable by default. We may permit a one-time transfer of a license to another individual at our discretion, in writing, provided the original owner removes all copies of the Product from their systems and no refund has been issued. Contact support@fangtoothinstruments.com to request a transfer. We may charge a reasonable administrative fee.

10. Term and termination

This Agreement remains in effect until terminated. It terminates automatically if you breach any of its terms, and may be terminated by us if a refund or chargeback is issued for the associated purchase.

On termination, you must stop using the Product and delete all copies of the software and its sample content from your systems. Sections 1, 4, 11, 12, 13, and 14 survive termination.

Audio you legitimately created while your license was in good standing may continue to be used and distributed.

11. Disclaimer of warranty

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE COMPATIBLE WITH ANY PARTICULAR HOST, PLUGIN, OR SYSTEM CONFIGURATION.

You are responsible for backing up your work. Please save your session before loading unfamiliar software.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FANGTOOTH INSTRUMENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST PROJECTS, OR STUDIO DOWNTIME, ARISING OUT OF OR RELATING TO THE PRODUCT.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the extent permitted. If you are a consumer, nothing in this Agreement affects your mandatory statutory rights, including rights relating to digital content that is faulty or not as described.

13. Governing law

This Agreement is governed by the laws of the State of Georgia, USA, without regard to conflict of law principles, with exclusive venue in the state or federal courts located in DeKalb County, Georgia. If you are a consumer resident in the EU, EEA, or UK, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.

14. General

If any provision of this Agreement is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. This Agreement, together with our Terms of Service, Privacy Policy, and Refund Policy, is the entire agreement between you and Fangtooth Instruments regarding the Product.

We may revise this Agreement for future versions and future purchases. The version in effect at the time of your purchase governs your license.
